Shaishad & Co. is a Growth Company providing business consulting, branding, digital marketing, website development, mobile application development, AI & automation solutions, eCommerce consulting, creative services, and other professional business growth solutions.

These Terms & Conditions govern your access to and use of our website, products, and services.

By accessing our website, accepting a quotation, signing a proposal, making payment, or engaging our services, you agree to be bound by these Terms & Conditions.

  • Any other mutually agreed professional service.

3. Quotations & Scope of Work

Every project shall be governed by an approved Proposal, Quotation, or Scope of Work (SOW).

Only services expressly mentioned in the approved documents are included.

Any additional work requested after approval shall be treated as a Change Request and may incur additional charges.

4. Payment Terms

Unless otherwise agreed in writing:

  • 100% advance payment is required before work begins.

  • No project shall commence until payment has been successfully received.

  • Invoices are payable immediately upon issuance unless otherwise stated.

  • All taxes, government charges, payment gateway fees, and statutory deductions shall be borne by the Client unless agreed otherwise.

  • Delayed payments may result in suspension of services without liability to Shaishad & Co.

5. Refund Policy

Professional services involve allocation of time, resources, personnel, and planning.

Accordingly:

  • Payments made are non-refundable once work has commenced.

  • Advance payments secure project scheduling and resource allocation.

  • Advertising budgets paid to third-party platforms are non-refundable.

  • Third-party purchases, subscriptions, licenses, hosting, domains, plugins, or software are non-refundable.

Any exception shall be solely at the discretion of Shaishad & Co. and must be confirmed in writing.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate information.

  • Supply required content, assets, and approvals on time.

  • Ensure ownership or permission to use all supplied materials.

  • Review deliverables promptly.

  • Cooperate throughout the engagement.

Client-caused delays may extend project timelines.

7. Website & Application Development

Unless specifically included:

  • Hosting is excluded.

  • Domain registration is excluded.

  • Maintenance is excluded.

  • Content writing is excluded.

  • Premium themes/plugins/licenses are excluded.

  • Future enhancements are excluded.

Once a website or application has been approved and delivered, additional modifications shall be quoted separately.

App Store and Google Play approvals remain subject to the policies of the respective platforms.

8. Digital Marketing & SEO

Marketing services are provided on a professional, best-effort basis.

Shaishad & Co. does not guarantee:

  • Revenue

  • Sales

  • Leads

  • Conversions

  • Search rankings

  • ROAS

  • Traffic

  • Profitability

Performance depends on numerous external factors including competition, market conditions, customer behavior, platform algorithms, pricing, and product quality.

9. Social Media & Advertising Platforms

Campaigns may be conducted using platforms including:

  • Meta

  • Google

  • LinkedIn

  • YouTube

  • X

  • Pinterest

  • Snapchat

  • TikTok

  • Amazon Ads

  • Flipkart Ads

  • Blinkit Ads

  • Zepto Ads

Shaishad & Co. is not responsible for:

  • Account suspensions

  • Ad rejections

  • Platform policy changes

  • Billing issues

  • Algorithm updates

  • Platform outages

Advertising spend is separate from our professional fees.

10. Artificial Intelligence

Shaishad & Co. may use AI and automation technologies to improve efficiency.

AI-generated outputs are reviewed wherever reasonably practicable.

Clients remain responsible for reviewing and approving final deliverables.

AI-generated information should not be considered legal, financial, accounting, or medical advice.

11. Intellectual Property

All concepts, strategies, methodologies, proposals, templates, systems, documentation, automation workflows, and proprietary processes developed by Shaishad & Co. remain our intellectual property until full payment has been received.

Ownership of final deliverables transfers only where expressly agreed in writing after complete payment.

12. Client Materials

The Client warrants that all supplied logos, trademarks, content, images, videos, software, documents, and other materials are owned or properly licensed.

The Client agrees to indemnify Shaishad & Co. against claims arising from unauthorized use of such materials.

13. Confidentiality

Both parties agree to maintain the confidentiality of all non-public business information exchanged during the engagement.

This obligation survives completion or termination of the project.

14. Portfolio Rights

Unless restricted by a written confidentiality agreement, Shaishad & Co. may showcase completed work in:

  • Portfolio

  • Website

  • Presentations

  • Social Media

  • Case Studies

  • Marketing Materials

Confidential information will never be disclosed without authorization.

15. Suspension & Termination

Shaishad & Co. may suspend or terminate services where:

  • Payment remains outstanding.

  • Fraud is suspected.

  • Required cooperation is withheld.

  • Abusive conduct occurs.

  • Legal compliance concerns arise.

Outstanding invoices remain payable regardless of suspension or termination.

16. Limitation of Liability

To the maximum extent permitted by law, Shaishad & Co. shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, goodwill, business opportunities, or data.

Our total liability shall not exceed the professional fees actually paid for the specific service giving rise to the claim.

17. Indemnification

The Client agrees to indemnify and hold harmless Shaishad & Co., its employees, consultants, contractors, and affiliates against claims arising from:

  • Client-supplied content.

  • Intellectual property infringement.

  • Unlawful business activities.

  • Misuse of deliverables.

  • Breach of these Terms.

18. Force Majeure

Shaishad & Co. shall not be liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, cyber incidents, government actions, internet outages, utility failures, or third-party service disruptions.

Project timelines shall automatically extend for the duration of such events.

19. Dispute Resolution

Any dispute, objection, complaint, or claim relating to our services must be communicated in writing within seven (7) calendar days from:

  • Delivery of work;

  • Completion of the milestone;

  • Issuance of the invoice; or

  • Occurrence of the relevant event.

If no written dispute is received within this period, the relevant services, deliverables, and invoices shall be deemed accepted and approved.

Both parties agree to attempt good-faith negotiations before initiating legal proceedings.

20. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by the laws of the Republic of India.

Any dispute arising from these Terms, our website, proposals, quotations, invoices, or services shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.

21. Electronic Acceptance

Acceptance of these Terms may occur through:

  • Proposal acceptance

  • Quotation approval

  • Scope of Work approval

  • Email confirmation

  • Digital signature

  • Invoice acceptance

  • Making payment

  • Continued use of our services

Such acceptance shall have the same legal effect as a physical signature.

22. Amendments

Shaishad & Co. reserves the right to modify these Terms & Conditions at any time.

The latest version will always be available on our official website.

Continued use of our services constitutes acceptance of the revised Terms.
